Pravven HR Communications Toolkit License

This license applies to the Pravven HR Communications Toolkit, including the editable Word, Excel and PowerPoint templates, PDF sample material, the AI Campaign Companion guide, and the prompt text (the "Toolkit"). The seller is Prince Ventures LLC, which operates the Pravven brand ("Pravven," "we," "us"). By purchasing or using the Toolkit, the purchasing organization agrees to this license, subject to any mandatory legal rights.

1. One-Organization License

Upon payment, Pravven grants the purchasing organization ("Licensee") a nonexclusive, nontransferable, perpetual license, subject to the terms below, to use and adapt the Toolkit for its own internal benefits-communication programs.

"One organization" means one employer and its affiliates only where they are administered as part of the same centrally managed employee benefits program and the Toolkit is being used for that combined employer program. Separate employers with separately administered benefits programs require separate licenses. A broker, consultant, professional employer organization, or agency purchasing for multiple unrelated clients requires one license per client organization.

The Licensee may permit its employees and contractors to use the Toolkit for the authorized program. External advisers may access it solely to support that program and may not reuse it for another client.

2. Allowed Use

The Licensee may:

• (a) copy, edit, translate and adapt its templates for the authorized employer program;
• (b) share completed employee communications with the Licensee's employees and those assisting that same program, including benefits advisers and vendors;
• (c) share drafts and partly completed files with those advisers and vendors solely for review and work on behalf of the Licensee;
• (d) upload or paste Toolkit content into an AI assistant to prepare content for the authorized program, subject to the assistant's terms and the Licensee's organizational privacy and AI-use policies;
• (e) retain and reuse the Toolkit for subsequent enrollment periods of the same authorized employer program.

3. Restrictions

Unless Pravven expressly agrees in writing, the Licensee may not:
(a) sell, sublicense, rent, publish, give away, or redistribute the underlying templates, prompts, or the Toolkit itself;
(b) post blank or partly completed templates or prompts to publicly accessible repositories or platforms;
(c) use one license for unrelated employers, clients or separately managed employee benefits programs;
(d) create competing template packs or products for distribution using Toolkit source files.
Completed employer communications produced for the authorized benefits program may be distributed as described in section 2.

4. Ownership

Pravven retains ownership of its original templates, prompts, layout, text and other Toolkit materials. The Licensee retains ownership of its employer-specific facts, marks and independently authored content. No trademark rights are granted.

5. Scope, Approval and Third-Party Services

The Toolkit supplies general administrative communication materials; it does not interpret plans, determine eligibility, analyze insurance options, or constitute legal, tax, compliance, medical or individualized insurance advice. Employer-specific deadlines, benefits, links, coverage, costs and procedures must be confirmed from authoritative materials. The Licensee is responsible for the accuracy, accessibility, privacy, approval, scheduling and distribution of its final communications.

The optional AI Companion uses a third-party assistant selected and operated by the Licensee. Results and available file-generation capabilities vary by provider. Do not upload sensitive employee information, personal health details, or confidential employer data contrary to applicable policies. Pravven does not control third-party AI or office applications.

6. Delivery and Refunds

The Toolkit is a digital download delivered after checkout through a third-party commerce platform. The separate Refund and Delivery Policy made available before purchase describes support, refunds and any applicable statutory cancellation rights. Nothing in this license limits nonwaivable consumer protections.

7. Warranty and Liability

The Toolkit is provided "as is" and "as available," to the maximum extent permitted by law. Pravven does not warrant suitability for any particular enrollment campaign or regulatory outcome. To the maximum extent permitted by law, Pravven's aggregate liability for claims directly arising from the purchased Toolkit is limited to the amount paid by the Licensee for that Toolkit. This limitation does not exclude liability that cannot legally be limited, or rights provided by mandatory law.

8. Termination

A material breach of the restrictions terminates the license after written notice and a reasonable opportunity to remedy the breach where appropriate under applicable law. The Licensee may continue using communications lawfully distributed to its own employees before termination, but may no longer use or redistribute Toolkit source files after termination.

9. Governing Law and Rights

Subject to mandatory consumer-protection rules and jurisdictional rights, this license is governed by the laws of the Commonwealth of Massachusetts, USA, without applying its conflicts-of-law rules. If a mandatory local law applies, it controls to the extent required.
